They are both languages. There are a few root words and root grammatical concepts in common. But to be fluent in either one you have to learn it from the ground up.
Perhaps the biggest difference is that ASP.NET is built on top of a framework (that is, the .NET framework) whereas PHP "grew up" from an unstructured non-object-oriented language and doesn't inherently depend on any one framework.
